<p>As a <strong>Senior Commercial Counsel </strong>at DigitalOcean, you will report directly to the General Counsel and serve as the lead legal partner for our Go-to-Market organization. You will play a critical role in shaping and executing legal strategy for complex and first-of-their-kind commercial arrangements that support AI, PaaS, SaaS, and IaaS offerings. You will be a trusted advisor to senior leadership, driving scalable legal processes while enabling innovation across DigitalOcean’s ecosystem of customers and partners.</p>
<h2><strong>What You’ll Do</strong></h2>
<ul>
<li>Serve as the lead commercial counsel for the Go-to-Market team, driving legal strategy and execution for complex and innovative commercial arrangements supporting AI services, PaaS, SaaS, and IaaS.</li>
<li>Act as a key liaison, strategy advisor, and contract lead for DigitalOcean partnerships, including direct resellers, ecosystem partners, managed service providers, affiliate marketing partners as well as direct customers.</li>
<li>Oversee the development and continuous improvement of legal templates, playbooks, AI-enabled processes, and risk management frameworks to support scalable and efficient commercial operations.</li>
<li>Partner with Finance, Sales, and Operations to support contract lifecycle management (Quote-to-Cash), driving process automation and legal tooling improvements across the business.</li>
<li>Advise on and ensure compliance with applicable laws and regulatory frameworks.</li>
<li>Support MA initiatives as needed, including contract diligence, integration, and post-close support.</li>
<li>Lead or participate in special projects and high-priority initiatives as assigned by the General Counsel.</li>
<li>Manage a small team of legal operations professionals. </li>

</ul>
<h2><strong>What You’ll Add to DigitalOcean</strong></h2>
<ul>
<li>Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. state.</li>
<li>10+ years of legal experience, with significant in-house experience supporting commercial transactions in the technology sector.</li>
<li>Proven expertise in structuring, negotiating, and executing complex commercial and partnership agreements.</li>
<li>Strong knowledge of cloud services, SaaS, PaaS, IaaS, and emerging AI offerings.</li>
<li>Experience designing and scaling legal operations frameworks, including templates, playbooks, and contract lifecycle management systems.</li>
<li>Demonstrated ability to partner cross-functionally with GTM, Finance, Operations, and Product teams.</li>
<li>Excellent business judgment, communication, and negotiation skills, with the ability to translate legal risk into practical business solutions.</li>
