In this role you will support legal aspects of Anduril’s MA activities, equity and debt financing transactions, partnerships and other strategic transactions. You will partner closely with our Corporate Development and Finance teams as well the broader Legal team, on a wide range of matters, including assisting with negotiating acquisition and financing transactions, conducting and managing the due diligence process on such deals, and coordinating and driving an efficient closing for such deals. You will also provide general corporate support and assist in managing vendor, partner and other commercial transactions for the Legal team. </p> <h3>ABOUT THE JOB</h3> <p>Anduril is a fast-growing company. Consistent with this fast growth, members of Anduril’s Legal team must be resourceful, creative, and eager to take ownership of complex matters. The MA and Corporate Counsel will require excellent negotiating and project management skills to coordinate and efficiently close complex transactions on tight timelines, with a singular focus on helping Anduril deploy its path-making technology into operational settings for the United States and its allies.</p> <h4><strong>WHAT YOU’LL DO</strong></h4> <ul> <li>Be a key member of Anduril’s dynamic Legal team.</li> <li>Provide legal guidance on MA, financing, and other strategic transactions to our Corporate Development and Finance teams and other stakeholders.</li> <li>Conduct thorough legal due diligence on potential acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.</li> <li>Assist in structuring MA, financing, and other strategic transactions to optimize value, mitigate legal risks, and ensure alignment with Anduril’s strategic objectives.</li> <li>Draft, review, and negotiate a wide variety of strategic agreements, including MA agreements, equity financing agreements, joint venture agreements, partnering agreements, confidentiality agreements, debt agreements, licensing agreements, and various vendor and supply agreements.</li> <li>Oversee the organization and maintenance of legal documents related to MA, financing, and other strategic transactions, ensuring accuracy and accessibility.</li> <li>Work closely with our Corporate Development and Finance teams, external legal advisors, and other stakeholders to drive MA and other strategic initiatives.</li> </ul> <h4><strong>REQUIRED QUALIFICATIONS </strong></h4> <ul> <li>JD from a top-tier accredited law school</li> <li>4+ years of experience practicing law in a large national law firm’s busy MA practice</li> <li>Experience with due diligence, deal negotiation, etc.</li> <li>Meticulous attention to detail with strong written and verbal communication skills</li> <li>Ability to work within tight deadlines and within a team environment</li> <li>Ability to provide clear risk analyses and recommendations to executive leadership</li> <li>Willing and able to work in Anduril’s Costa Mesa, California office</li> <li>Willing and able to travel at least 25% of time</li> </ul> <h4><strong>PREFERRED QUALIFICATIONS</strong></h4> ...
