This role will be the lead attorney for our rapidly growing Federal business. The Senior Corporate Counsel will be a key business partner and legal advisor to senior management and business leaders, with a direct and substantial impact on the company’s overall legal strategy and public sector success.</p>
<p>This is a high-impact role in a fast-paced, high-growth environment. The ideal candidate will be a subject matter expert in all facets of government contracting, capable of operating independently, and will be expected to take on increasing responsibility as C3 AI continues to expand.</p>
<p><strong>Responsibilities:</strong></p>
<ul>
<li>Serve as the lead attorney for C3 AI’s Federal business, driving growth through all phases of government acquisitions, including RFP/capture support, contract negotiation, administration, and compliance.</li>
<li>Lead front-end assessments of business pursuits, analyze solicitations, and advise on risk mitigation in accordance with company standards and policies.</li>
<li>Structure, draft, and negotiate a wide range of complex agreements, including prime contracts, subcontracts, Other Transaction Authority (OTA) agreements, teaming agreements, and NDAs.</li>
<li>Provide expert counsel on intellectual property protection, product counseling, export controls (ITAR/EAR), and security compliance within the Federal landscape.</li>
<li>Develop and execute negotiation strategies, understanding how terms and conditions affect pricing, schedules, and performance.</li>
<li>Manage the government contracting function, serving as the primary point of contact for customers on all contractual matters.</li>
<li>Advise on US and international ethics and compliance laws and regulations to ensure business integrity.</li>
<li>Assist in managing the Industrial Security function and Insider Threat program in collaboration with the Facility Security Officer (FSO).</li>
<li>Handle contract claims, disputes, bid protests, and Freedom of Information Act (FOIA) requests.</li>
</ul>
<p><strong>Requirements:</strong></p>
<ul>
<li>Juris Doctor (JD) from an accredited law school and active membership in at least one U.S. state bar.</li>
<li>8+ years of relevant government contracts experience, with a strong preference for a combination of law firm and in-house roles.</li>
<li>Subject matter expertise in all facets of U.S. Government contracting, including deep knowledge of the FAR, DFARS, and other agency supplements.</li>
<li>Extensive experience structuring and negotiating FAR-based contracts, Other Transaction Authority (OTA) agreements, and GSA Schedule procurements.</li>
<li>Proven experience with multiple contract types, such as FFP, Cost-Reimbursement, IDIQ, TM, and BPAs.</li>
<li>Significant experience with ITAR/EAR regulations and export compliance.</li>
<li>Strong negotiation, contract drafting, and analytical skills, with experience representing both prime and subcontractors.</li>
<li>Deep substantive knowledge of enterprise software, SaaS, PaaS, software licensing, and channel distribution models is a significant plus.</li>
