With our technological savvy and fan-first attitude we’re simplifying and modernizing the ticketing industry. </strong></h3> <p>The Senior Corporate Counsel will provide strategic support for a broad range of SeatGeek’s general corporate matters, including corporate governance, securities law compliance, ​​equity plan development, strategic transactions, tax structuring and other general corporate and board matters. In this role, you will serve as a trusted partner to many internal teams, including People, Finance and the office of the CEO. This is an opportunity to support a late-stage private company in navigating its next stage of growth. </p> <h3><strong>What you'll do</strong></h3> <ul> <li>Counsel and advise on corporate and securities laws matters, including the implementation and compliance with corporate governance policies and procedures</li> <li>Provide support for SeatGeek’s board of director and committee matters, including collaborating with internal stakeholders on board and committee meeting agendas, materials, and governance policy updates</li> <li>Partner with SeatGeek’s equity team and advise on investor relations matters, including investor communications and outreach, equity transfer requests, and equity plan management</li> <li>Provide legal support and guidance on strategic transactions, including mergers and acquisitions, partnerships, and joint ventures, as well as corporate financing transactions, tender offers and similar transactions</li> <li>Partner with SeatGeek’s finance and compliance teams to provide legal support for corporate entity financial and regulatory audits and company filings</li> <li>Advise on executive compensation and private equity grant matters</li> <li>Manage the corporate governance of SeatGeek’s subsidiary and affiliate entities</li> <li>Help build a best-in-class corporate and securities function, developing processes that will scale into future stages of company growth</li> <li>Partner with other members of the Legal team on initiatives and special projects on an as-needed basis, including complex partnerships agreements</li> </ul> <h3><strong>What you have</strong></h3> <ul> <li>J.D. degree with an active law license and a current member of a State bar</li> <li>6+ years of combined legal experience (law firm in-house), with experience working in an in-house legal department at a technology company</li> <li>Experience working for late-stage private companies through transition into public companies</li> <li>Comprehensive understanding of securities law compliance, including SEC reporting and disclosure requirements</li> <li>Experience with equity compensation plans and executive compensation matters.</li> <li>Superior judgment and integrity, intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice</li> <li>Experience creatively solving problems, taking into account legal risk and business needs</li> <li>Ability to independently drive accountability and influence outcomes</li> <li>Detail oriented, with the ability to produce work product that demonstrates subject matter expertise</li> </ul> <h3><strong>Perks</strong></h3> <ul> <li>Equity stake</li> <li>Flexible work environment, allowing you to work as many days a week in the office as you’d like or 100% remotely</li> <li>A WFH stipend to support your home office setup</li> <li>Unlimited PTO</li> <li>Up to 16 weeks of fully-paid family leave </li> <li>401(k) matching </li> <li>Student loan matching program</li> <li>Health, vision, dental, and life insurance</li> <li>Up to $25k towards family building, reproductive health services and Gender-affirming care</li> <li>$500 per year for wellness expenses</li> <li>Subscriptions to Headspace (meditation), Headspace Care (therapy), and One Medical</li> <li>$120 per month to spend on tickets to live events</li> <li>Annual subscription to Spotify, Appl ...
