In this role, you’ll lead key initiatives across governance, financings, securities compliance, and strategic transactions, while partnering closely with various teams across the company.</p> <p>This is a high-impact role for an attorney who thrives in a dynamic, fast-paced environment and is looking to help shape the future of a rapidly growing technology company.</p> <h3><strong>What You'll Do</strong></h3> <ul> <li>Advise on a broad spectrum of corporate legal matters, including corporate governance, board and stockholder matters, and subsidiary management.</li> <li>Support MA and other strategic transactions, including deal structuring, due diligence, negotiation, and post-closing integration.</li> <li>Partner cross-functionally to support equity compensation strategy and administration, including oversight of equity plans and grants.</li> <li>Collaborate with HR and Finance to advise on employment, compensation, and benefits matters.</li> <li>Manage and support equity and debt financings, including due diligence, negotiation, and execution.</li> <li>Provide legal guidance on investor relations and securities law matters.</li> <li>Support risk management, insurance, and regulatory compliance initiatives across the business.</li> <li>Identify areas for process improvement and help build scalable legal processes and policies that align with business goals.</li> </ul> <h3><strong>What You’ll Need</strong></h3> <ul> <li>J.D. degree and membership in good standing with at least one U.S. state bar</li> <li>3-6+ years of legal experience at a law firm counseling high-growth technology companies and/or in-house at a technology company</li> <li>Experience in corporate governance, MA, equity and debt financings, and securities compliance</li> <li>Deep knowledge of equity compensation structures</li> <li>Exceptional communication and interpersonal skills with a strong ability to influence and collaborate with stakeholders at all levels</li> <li>A pragmatic and solution-oriented mindset with a high degree of business acumen and risk judgment</li> <li>Ability to operate independently in a fast-paced, ever-changing environment with a strong sense of ownership and accountability</li> </ul> <h3><strong>You have an edge if you have:</strong></h3> <ul> <li>Experience with MA, IPO experience, or have worked at a publicly traded company</li> ...
