Senior Commercial Counsel

<p>Freshworks is looking for a Senior Commercial Counsel to join our growing global legal team and play a critical role in supporting our North America business. In this role, you'll serve as a strategic legal partner to revenue and operations leaders, owning complex commercial transactions and helping scale contracting processes in a fast-growing SaaS company.&#xa0;</p><p>You'll work closely with Sales, Channels, Customer Success, Finance, and other cross-functional teams to enable deals, manage risk, and support continued growth — all while delivering practical, customer-friendly legal guidance. This role reports to the VP of Legal and offers meaningful visibility, autonomy, and impact.&#xa0;</p><p>This is an excellent opportunity for an experienced commercial attorney who enjoys being close to the business, thrives in high-velocity environments, and wants to help shape how legal supports scale.&#xa0;</p><p><strong>What You'll Do</strong></p><p><strong>Own Complex Commercial Transactions</strong></p><ul><li>Lead the drafting, review, and negotiation of a wide range of commercial agreements, including enterprise SaaS, channel and reseller, marketplace, professional services, vendor, and data protection agreements.&#xa0;</li><li>Support high-value, non-standard, and strategic deals with a strong balance of risk awareness and business pragmatism&#xa0;</li></ul><p><strong>Act as a Strategic Business Partner&#xa0;</strong></p><ul><li>Serve as a trusted advisor to Sales, Channels, Customer Success, Sourcing, and other stakeholders on deal structure, risk trade-offs, and contracting strategy&#xa0;</li><li>Provide clear, practical guidance that enables the business to move quickly and confidently&#xa0;</li></ul><p><strong>Scale Legal Processes&#xa0;</strong></p><ul><li>Build, refine, and maintain commercial templates, playbooks, and workflows that improve efficiency, consistency, and speed across North America.&#xa0;</li><li>Partner with Deals Desk, Finance, and Operations to streamline contracting and support predictable deal execution&#xa0;</li></ul><p><strong>Collaborate Globally</strong></p><ul><li>Work closely with legal colleagues across regions to ensure alignment on commercial standards, policies, and best practices&#xa0;</li><li>Share knowledge and help drive consistency while remaining responsive to local business needs</li></ul><p><strong>Advise on Compliance &amp; Risk</strong></p><ul><li>Stay current on relevant legal and regulatory developments related to IP, data privacy, security, and commercial contracting&#xa0;</li><li>Apply legal insight in a practical, business-oriented way across multiple jurisdictions</li></ul><p><strong>Please note this is a hybrid role with onsite expectations of 3x/week (Tuesday - Thursday) from our San Mateo, CA headquarters.</strong></p> <ul><li>8+ years of experience as a transactional attorney, ideally in-house at a SaaS or technology company and/or at a leading law firm&#xa0;</li><li>Deep experience negotiating and advising on SaaS agreements, partner and channel contracts, vendor agreements, DPAs, and professional services agreements&#xa0;</li><li>Strong working knowledge of commercial contracts, intellectual property, and data privacy regulations, with the ability to translate legal risk into actionable business advice</li><li>Proven ability to manage multiple priorities, handle ambiguity, and operate independently in a fast-paced environment&#xa0;</li><li>Excellent communication skills and comfort collaborating with senior stakeholders across functions and time zones&#xa0;</li><li>Track record of building strong cross-functional relationships and operating as a solution-oriented partner&#xa0;</li><li>JD from an accredited U.S. law school and active license to practice law in California</li></ul> <p><strong>Please note this is a hybrid role with onsite expectations of 3x/ week (Tues - Thurs) from our San Mateo, CA headquarters.&#xa0;</strong></p><p>The annual base salary range for t ...
