Our open-source framework and commercial products enable developers and enterprises to build, deploy, and scale applications with large language models.We are seeking a business-minded Commercial Counsel with experience drafting, redlining, and negotiating sales agreements with sophisticated global and domestic organizations. This role will serve as a key legal partner to our Go-To-Market organization and cross-functional stakeholders across the company, helping to accelerate revenue while thoughtfully managing risk.This is a full-time, hybrid position based in our New York City office. Our hybrid work model offers a blend of remote flexibility and in-person collaboration, including designated in-office days each week to connect and build as a team.What You’ll Do:Support LangChain’s Sales and Partnerships teams by drafting, reviewing, and redlining customer-facing commercial agreements, including MSAs, order forms, DPAs, security addenda, and related amendmentsNegotiate directly with customer and partner counsel to drive agreements to executionPartner closely with Sales, RevOps, Finance, Security, and Product to facilitate efficient deal execution while balancing legal and business riskAdvise on contractual issues related to data protection, privacy, security, intellectual property, AI/LLM usage, liability, and compliance in a SaaS environmentProvide practical, business-focused legal guidance to help close deals while maintaining scalable contracting processesContribute to the development and continuous improvement of contract templates, playbooks, fallback positions, and negotiation guidelinesSupport cross-functional initiatives related to product launches, pricing strategy, new go-to-market motions, and customer lifecycle mattersIdentify trends in customer redlines and help evolve standard commercial positions to support scaleWhat You’ll Bring:7–12+ years’ experience negotiating and drafting commercial sales agreements, including in-house experience at a SaaS, infrastructure, or technology company and/or a law firmStrong experience negotiating SaaS, cloud, or technology agreements in support of direct enterprise sales teamsDemonstrated experience redlining complex agreements at scaleWorking knowledge of data privacy, security, intellectual property, and technology contracting issues in a B2B SaaS contextComfort advising on emerging AI-related contractual issues (e.g., model outputs, data use, acceptable use restrictions, indemnities)Ability to balance legal risk with business objectives in a fast-paced, high-growth environmentStrong communication skills and comfort advising non-legal stakeholdersHighly organized, responsive, and able to manage multiple priorities simultaneouslyHigh attention to detail with strong ownership and driveAdmitted to practice law in the applicable jurisdictio ...
